These Terms of Service ("Terms") govern your access to and use of the ZW Technology website (www.zhanwangtech.com) and advertising optimization platform (the "Service") operated by ZW TECHNOLOGY LIMITED ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms.

1. Description of Service

ZW Technology provides an AI-powered advertising optimization platform for Amazon sellers and brands. Our Service integrates with the Amazon Advertising API to help you manage, analyze, and optimize your advertising campaigns across Sponsored Products, Sponsored Brands, Sponsored Display, Amazon DSP, and other Amazon advertising products.

2. Account Registration

To use our Service, you must:

• Create an account and provide accurate, complete information
• Be at least 18 years of age
• Have a valid Amazon Seller Central or Amazon Advertising account
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account.

3. Amazon Account Authorization

Our Service requires you to authorize access to your Amazon Advertising account through Amazon's OAuth process. By granting this authorization, you:

• Confirm that you are authorized to grant access to the Amazon Advertising account
• Understand that we will access campaign data, performance metrics, and advertising settings
• Authorize us to make changes to your campaigns (bid adjustments, keyword changes, budget modifications) as directed by you or as configured in your optimization settings
• May revoke access at any time through your Amazon account settings or our platform

4. Acceptable Use

You agree to use our Service in compliance with:

• All applicable laws and regulations
• Amazon's Terms of Service and Advertising Policies
• Amazon Advertising API Terms of Use

You agree not to:

• Use our Service for any illegal or unauthorized purpose
• Attempt to reverse engineer, decompile, or disassemble our software
• Share your account access with unauthorized individuals
• Interfere with or disrupt the integrity of our Service
• Use our Service to manipulate or artificially inflate advertising metrics

5. Optimization Services

Our platform provides advertising optimization recommendations and may execute automated adjustments based on your configuration. You acknowledge that:

• Advertising performance is influenced by many factors beyond our control, including market conditions, competition, and Amazon's algorithms
• We do not guarantee specific results, ACOS targets, or ROAS outcomes
• You are responsible for reviewing and approving optimization recommendations before they are applied
• Automated optimizations follow the rules and constraints you configure in your account settings
• Amazon advertising data has inherent delays (typically 48-72 hours) which may affect real-time accuracy

6. Data Ownership

You retain ownership of your Amazon advertising data. By using our Service, you grant us a limited, non-exclusive license to access, process, and analyze your data solely for the purpose of providing our optimization services. We do not claim ownership of your data and will not use it for purposes unrelated to delivering our Service to you.

7. Intellectual Property

Our platform, including its software, algorithms, user interface, documentation, and content, is owned by ZW Technology and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our express written permission.

8. Payment Terms

If you subscribe to a paid plan:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failure to pay may result in suspension of your account

9. Limitation of Liability

To the maximum extent permitted by law, ZW Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of our Service.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

10. Disclaimer of Warranties

Our Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

Either party may terminate the service agreement at any time. Upon termination:

• We will cease accessing your Amazon Advertising account
• Your advertising data will be deleted within 30 days
• Any outstanding fees become immediately due
• Provisions that by their nature should survive termination will remain in effect

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these Terms shall be resolved through negotiation or, if necessary, through arbitration in Hong Kong.
